1.1. Introduction

Welcome to Argus, an AI evaluation platform created by ZoniteAI. These Terms & Conditions govern your access to and use of our website, platform, software, services, reports, dashboards, integrations, and related features.

By accessing or using Argus, you agree to these Terms. If you do not agree, you must not use the Service.

1.2. Definitions

For purposes of these Terms:

  • "Argus," "Service," "Platform," "we," "us," or "our" means the Argus web application and related services provided by ZoniteAI.
  • "Customer," "you," or "your" means the company, organization, institution, or person using the Service.
  • "Authorized Users" means employees, contractors, reviewers, administrators, or other individuals authorized by a Customer to access the Service.
  • "Customer Content" means data uploaded, submitted, processed, or generated through the Service, including audio recordings, video recordings, transcripts, evaluation rubrics, notes, reports, metadata, and user information.
  • "Evaluation Reports" means outputs generated by Argus, including scores, summaries, observations, recommendations, flags, and analytics.
  • "AI Features" means features that use artificial intelligence, machine learning, natural language processing, speech to text, or similar technologies.

1.3. What Argus Does

Argus helps organizations evaluate recorded or live interactions, such as classes, coaching sessions, customer service calls, training sessions, or other business communications.

The Platform may provide features such as:

  • Uploading or connecting call, class, or session recordings.
  • Transcribing audio or video into text.
  • Evaluating conversations based on rubrics, checklists, or quality criteria.
  • Generating reports, summaries, scores, and recommendations.
  • Helping reviewers prioritize exceptions, low confidence cases, or quality risks.
  • Providing dashboards and analytics for quality assurance and coaching.

Argus is designed to support human review and operational decision making. It does not replace professional judgment, legal advice, HR judgment, medical advice, financial advice, or any other regulated professional decision making process.

1.4. Account Registration

To use certain parts of the Service, you may need to create an account. You agree to provide accurate, complete, and current information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you believe your account has been compromised.

1.5. Customer Responsibilities

You are responsible for:

  • Ensuring that you have the legal right to upload, process, analyze, and store Customer Content in Argus.
  • Informing employees, teachers, agents, students, customers, call participants, or other individuals when their conversations are recorded, uploaded, transcribed, or evaluated.
  • Obtaining all required consents, notices, authorizations, or approvals before using Argus.
  • Configuring evaluation rubrics, criteria, and review workflows appropriately.
  • Reviewing AI generated outputs before using them for important decisions.
  • Ensuring that your use of Argus complies with applicable laws, labor rules, privacy laws, contractual obligations, and internal policies.

You must not use Argus to secretly record, monitor, profile, evaluate, or make decisions about individuals where such use is unlawful or unethical.

1.6. Acceptable Use

You agree not to use the Service to:

  • Violate any law, regulation, or third party right.
  • Upload content that you do not have the right to process.
  • Process highly sensitive information unless you have appropriate legal authorization and security controls.
  • Harass, discriminate against, or unfairly profile individuals.
  • Make fully automated employment, disciplinary, legal, financial, medical, or similarly significant decisions without appropriate human review.
  • Attempt to reverse engineer, copy, scrape, overload, interfere with, or compromise the Service.
  • Upload malware, harmful code, or content designed to disrupt the Platform.
  • Use the Service to develop a competing product by copying our features, workflows, outputs, or design.

1.7. AI Generated Outputs

Argus uses AI to generate transcripts, summaries, scores, recommendations, and other outputs. AI systems may produce inaccurate, incomplete, biased, or misleading results.

You acknowledge that:

  • Evaluation Reports are provided for assistance and operational support.
  • You are responsible for reviewing outputs before relying on them.
  • Argus should not be the sole basis for employment decisions, disciplinary actions, academic sanctions, contractual penalties, or other decisions that significantly affect a person.
  • Scores and recommendations depend on the quality of the recording, rubric, transcript, configuration, context, and available information.

We do not guarantee that AI outputs will be free of errors, legally sufficient, unbiased, or suitable for every use case.

1.8. Human Review

Customers are encouraged to maintain human review processes, especially for:

  • Low confidence evaluations.
  • Disputed results.
  • Poor audio quality.
  • Sensitive employee, teacher, student, or customer interactions.
  • Cases involving potential disciplinary, contractual, or legal consequences.

Argus is intended to make quality review faster and more consistent, not to remove accountability from the Customer.

1.9. Customer Content Ownership

You retain ownership of your Customer Content. We do not claim ownership over your recordings, transcripts, rubrics, uploaded files, reports, or business data.

You grant us a limited right to host, process, transmit, analyze, and display Customer Content only as necessary to provide, secure, improve, and support the Service, unless a separate agreement states otherwise.

1.10. Use of Data to Improve the Service

Unless otherwise agreed in writing, we may use aggregated, anonymized, or de identified data to improve the Service, monitor performance, enhance security, develop features, and analyze usage trends.

We will not intentionally use Customer Content to publicly identify your organization, employees, students, teachers, agents, customers, or call participants without permission.

If you require that your Customer Content not be used for model improvement or product improvement beyond providing the Service, please contact us or request a separate data processing agreement.

1.11. Confidentiality

Each party may receive confidential information from the other. Confidential information includes any business, technical, product, financial, customer, operational, and security information that is not public.

Each party agrees to protect the other party's confidential information using reasonable care and to use it only for purposes related to the Service.

Confidentiality obligations do not apply to information that is public, already known, independently developed, or lawfully received from a third party.

1.12. Security

We use reasonable technical and organizational measures designed to protect the Service and Customer Content. However, no system is completely secure.

You are responsible for maintaining secure credentials, controlling user access, assigning appropriate permissions, and promptly removing access for users who no longer need it.

1.13. Third Party Services

Argus may rely on third party services for hosting, storage, transcription, AI processing, analytics, email, authentication, payment processing, or integrations.

Your use of third party services may be subject to their own terms and privacy policies. We are not responsible for third party services that we do not control.

1.14. Subscriptions, Billing, and Payment

Some parts of the Service may require payment. Pricing, included usage, overage fees, billing cycles, renewal terms, and payment methods may be described in an order form, proposal, subscription page, invoice, or separate agreement.

Unless otherwise stated:

  • Fees are billed in advance.
  • Payments are not refundable except as required by law or expressly agreed in writing.
  • You are responsible for applicable taxes, bank fees, and payment processing fees.
  • We may suspend access for unpaid amounts after reasonable notice.

1.15. Free Trials, Pilots, and Beta Features

We may offer free trials, pilots, early access, or beta features. These may be limited, experimental, incomplete, or changed at any time.

Beta features are provided "as is" and may be modified, suspended, or discontinued without notice.

1.16. Service Availability

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, updates, outages, security issues, third party failures, or events outside our control.

1.17. Intellectual Property

The Service, including its software, design, workflows, models, branding, documentation, user interface, templates, and technology, is owned by ZoniteAI or its licensors.

These Terms do not grant you ownership of the Service or any intellectual property rights in the Service.

You may not copy, modify, distribute, resell, sublicense, or create derivative works based on the Service unless we expressly allow it in writing.

1.18. Feedback

If you provide ideas, suggestions, feedback, or recommendations about Argus, you allow us to use them without restriction or compensation, unless otherwise agreed in writing.

1.19. Suspension or Termination

We may suspend or terminate access to the Service if:

  • You violate these Terms.
  • Your use creates security, legal, operational, or reputational risk.
  • Payment is overdue.
  • We are required to do so by law.
  • Continued access could harm the Service, us, another customer, or any third party.

You may stop using the Service at any time. Termination does not eliminate payment obligations incurred before termination.

1.20. Data Export and Deletion

Upon termination, you may request export or deletion of Customer Content, subject to technical limitations, legal obligations, backup retention, and any separate agreement.

We may retain limited information as required for legal, tax, security, audit, fraud prevention, dispute resolution, or compliance purposes.

1.21. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, no infringement, accuracy, availability, and operation that is free of errors.

We do not guarantee that:

  • Transcriptions will be perfect.
  • Evaluations will be complete, fair, or accurate in every case.
  • Reports will identify every relevant issue.
  • The Service will meet every Customer requirement.
  • The Service will be uninterrupted or free from errors.

1.22. Limitation of Liability

To the maximum extent permitted by law, ZoniteAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, data, or business opportunities.

To the maximum extent permitted by law, our total liability for claims related to the Service will not exceed the amount paid by you to us for the Service during the three months before the event giving rise to the claim, or USD $100 if you have not paid us.

1.23. Indemnification

You agree to defend, indemnify, and hold harmless ZoniteAI from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Service.
  • Your Customer Content.
  • Your violation of these Terms.
  • Your violation of applicable laws or third party rights.
  • Your failure to obtain required consent or authorization from recorded or evaluated individuals.

1.24. Changes to the Terms

We may update these Terms from time to time. If changes are material, we may notify you by email, in the app, or by website notice. Continued use of the Service after the updated Terms become effective means you accept the changes.

1.25. Governing Law and Disputes

These Terms are governed by the laws of El Salvador, unless a separate written agreement states otherwise.

Any dispute related to these Terms or the Service will be resolved in the competent courts of El Salvador, unless another dispute resolution process is agreed in writing.
